There were a number of media reports today concerning merger
discussions between United Airlines and America West. The reports were driven by
today’s Wall Street Journal, which reported that United made a conditional cash offer
for America West on Wednesday. As of late this afternoon, neither America West Holdings
nor UAL Corporation were willing to comment publicly about the story.

The Journal reported that America West has two weeks to
accept or reject the proposal, and that the offer was conditional upon United’s
unions agreeing in advance to conditions of integration and seniority. The Journal also
reported that Continental, among other carriers, should not be ruled out as a potential
suitor for America West.

As we have previously reported, the MEC has forged good
relationships with MECs at all major ALPA carriers, but no formal discussions have taken
place. Our merger committee is continuing internal preparations to deal with any and all
potential suitors. We will continue to update this hotline as the story develops.
